Welcome to WiseBidder. By accessing or using our platform, you agree to be bound by these Terms of Service. Please read them carefully before using our services.
Description of Service
WiseBidder is a SaaS platform designed to help government contractors:
- Search and discover government contract opportunities from SAM.gov
- Analyze RFP documents using AI-powered compliance extraction
- Track opportunities through a pipeline management system
- Generate proposal outlines and analyze proposal compliance
- Collaborate with team members on pursuit activities
User Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
You must be at least 18 years old and have the legal capacity to enter into these terms on behalf of yourself or your organization.
Acceptance of Terms
By creating an account or using WiseBidder, you agree to these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.
We reserve the right to modify these terms at any time. Continued use of the platform after changes constitutes acceptance of the new terms.
Subscription and Payment
Billing
Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.
Free Tier
The free tier includes limited features as described on our pricing page. We reserve the right to modify free tier limitations at any time.
Refunds
Subscription fees are non-refundable except as required by law or at our sole discretion. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.
Price Changes
We may change subscription prices with 30 days notice. Price changes will take effect at the start of your next billing cycle.
Prohibited Uses
You agree not to:
- Use the platform for any illegal or unauthorized purpose
- Share account credentials with unauthorized users
- Attempt to gain unauthorized access to our systems
- Upload malicious software or harmful content
- Interfere with the platform's operation or security
- Scrape, crawl, or use automated tools without permission
- Resell or redistribute our services without authorization
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The platform will be uninterrupted or error-free
- The results obtained will be accurate or reliable
- The quality of services will meet your expectations
- Any errors in the platform will be corrected
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISEBIDDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
Our total liability for any claims arising from these terms or your use of the platform shall not exceed the amount you paid us in the twelve months preceding the claim.
Intellectual Property
The WiseBidder platform, including all content, features, and functionality, is owned by WiseBidder and protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any content you upload to the platform. By uploading content, you grant us a license to process, store, and analyze it to provide our services.
AI-Generated Content & Compliance Disclaimer
Our platform uses artificial intelligence ("AI Agents") to analyze documents, extract compliance requirements, match past performances, and generate proposal content. All AI-generated output — including compliance matrices, proposal sections, past performance matches, gap analyses, and Go/No-Go recommendations — is provided as draft material for human review only. You acknowledge and agree that:
- AI-generated content must be reviewed and verified by qualified personnel before use in any proposal submission
- WiseBidder does not warrant that compliance extraction will identify all requirements in an RFP document
- AI outputs should not be used as the sole basis for bid/no-bid decisions or proposal submissions
- We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated analysis
- You are solely responsible for ensuring compliance with all applicable FAR, DFARS, and agency-specific regulations
- The person signing any proposal or certification (e.g., SF-33) remains fully responsible for all representations made
Data Processing & Third-Party AI
Customer data, including uploaded RFP documents and proposal content, may be processed by third-party AI providers (currently OpenAI) for the purpose of analysis, compliance extraction, and content generation. By using WiseBidder, you grant permission for this processing.
- Customer data is not used to train AI models
- Data is transmitted securely via TLS encryption
- Our subprocessors are listed in our Privacy Policy
- You should not upload classified, ITAR-controlled, or CUI-marked documents unless on an appropriate infrastructure tier
Organizational Conflict of Interest (OCI)
WiseBidder is a multi-tenant platform that serves multiple government contractors. We maintain strict data isolation between organizations:
- Each organization's data is isolated via row-level security and organization-scoped access controls
- WiseBidder does not access, review, correlate, or leverage one customer's data for the benefit of another
- WiseBidder employees do not have routine access to customer proposal content or competitive intelligence
- AI models are not trained on customer data and do not retain information between organizations
- Administrative access to customer data requires logged authorization and is audited
Customer Responsibilities
As a government contractor using WiseBidder, you are responsible for:
- Reviewing and approving all AI-generated content before inclusion in proposals
- Not uploading classified, ITAR-controlled, or export-controlled documents
- Compliance with FAR, DFARS, and all regulations applicable to your contracts
- Appropriate data classification of all uploaded documents
- Disclosing AI-assisted content in proposals when required by solicitation provisions
- Maintaining the accuracy of your contractor profile, past performances, and organizational data
- Managing user access and promptly revoking access for departed employees
Indemnification
You agree to indemnify and hold harmless WiseBidder and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the platform or violation of these terms
- Proposal content submitted to government agencies that incorporates AI-generated material
- Any False Claims Act, Procurement Integrity Act, or similar regulatory action related to proposal submissions
- Upload of classified, ITAR-controlled, or CUI data in violation of these terms
- Infringement of any third-party rights
Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these terms. Upon termination, your right to use the platform will cease immediately.
You may terminate your account at any time through your account settings or by contacting support.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the District of Columbia, United States, without regard to its conflict of law provisions.
Any disputes arising from these terms shall be resolved in the federal or state courts located in Washington, DC.
